Forward-Looking Legal Leadership When You Need It.
ROEBRIDGE LAW
TM
Advising growing companies through the decisions that define them. The judgment of a Chief Legal Officer, when you need it.
Based in Brooklyn, New York, Courtney Browne represents venture- and PE-backed SaaS, beauty, and consumer goods companies at every stage of growth. As a fractional general counsel, she delivers senior, business-minded judgment that keeps companies moving forward—without the full-time hire.
What is a fractional GC? It’s senior legal leadership without the full-time price tag. A lawyer who fully integrates with your leadership team on a part-time basis.
Roebridge Law provides:
Boardroom-tested leadership 10+ years as GC/CLO for VC- and PE-backed beauty, CPG and tech companies—from first legal hire to Chief Legal Officer—steering day-to-day operations, acquisitions, spin-offs, and international expansion.
Big-firm rigor, in-house judgment Big law-trained transactional lawyer who learned to solve business problems, not just spot and solve the legal ones.
Value beyond the law department Trusted business partner to founders, boards, and investors.
Fractional General Counsel Services
As your fractional general counsel, Courtney operates as a member of your leadership team. She’s sat in the boardroom, run the deal, and managed the investigation. She gives founders and CEOs the legal judgment of a Chief Legal Officer: where the real risk lives, which battles to fight, and how to use the law as a tool for growth rather than a brake on it.

As your fractional general counsel, I operate as a member of your leadership team—not an outside vendor. I've sat in the board seat, run the deal, and managed the regulator. I give founders and CEOs the legal judgment of a Chief Legal Officer: where the real risk lives, which battles to fight, and how to use the law as a tool for growth rather than a brake on it.
-
The work no template can do: advising you and your board on the decisions that carry real consequences—major contracts, financings, disputes, restructurings, and the daily gray areas where "technically allowed" and "wise" diverge.
-
End-to-end leadership of the moments that define a company: acquisitions, divestitures, debt facilities, recapitalizations, and key commercial partnerships.
-
Board packages, governance calendars, equity matters, investor communications, and the quiet discipline of doing things properly before you're forced to. Clean governance is invisible when done right and expensive when done wrong.
-
Scope, source, and manage expert counsel when it's needed.
Assess operational infrastructure—processes, playbooks, and technology stacks—that enables your legal function to scale securely as you grow.
-
Employment issues, workforce restructurings, executive transitions, and—when it intersects with legal—compensation and equity design.
-
Right-sized programs for data privacy (GDPR, CCPA), advertising and product claims, regulatory exposure, and cross-border expansion. Designed for your stage.
-
And yes, the day-to-day too. Contracts, policies, templates, and negotiations are part of every engagement—but they're the floor, not the ceiling. Where volume work makes sense, I draft efficiently, reuse proven templates, and reserve your budget for the strategic decisions where senior judgment actually changes outcomes.
Projects and Special Counsel
Not every legal need is ongoing. Sometimes you need a senior lawyer for one thing, done exceptionally well: preparing for a sale, cleaning up governance before a raise, standing up a privacy program, untangling an international structure. Courtney takes on a limited number of discrete projects at a time—with fixed scopes and fixed fees wherever possible, so the engagement ends when the problem does.
-
The legal work that determines your valuation happens 12–18 months before the LOI. Corporate records cleaned up, IP rights confirmed, employment and contractor agreements papered, material contracts papered and reviewed.
-
A review that gets your governance house in order: board composition and committee structures, equity administration, director and investor rights, and a governance calendar you'll actually follow. Ideal before a fundraise, a new institutional investor, or a strategic pivot.
-
Investigations, disputes, workforce restructurings, regulatory inquiries, union or works council matters. Sometimes what you need isn't a department—it's a steady hand who's navigated the situation before, reporting directly to your CEO or board.
-
A core set of commercial templates built or refreshed for your business—customer, vendor, and employment forms with playbook guidance for your team. Every company needs a solid foundation.
A fractional general counsel for growing companies. Senior leadership without the full-time price tag.
How It Works
Roebridge engagements are built on a simple principle: no surprises. You'll always know how you'll be charged, how work is scoped, and where things stand—before work begins, not after the invoice arrives. Courtney takes a limited number of clients and structure each engagement around how you actually work.
-
Most of my clients engage me as their general counsel on an hourly basis—senior counsel on call, working as an ongoing member of their leadership team without a recurring commitment. If you want priority availability, we can add a retainer: a deposit against work performed, not a subscription. Continuity of counsel on your side of the table is the whole point.
Hourly doesn't mean open-ended. Every engagement comes with clear ground rules: a candid estimate before substantial work begins, advance notice before approaching it, and a conversation—not a fait accompli—if scope grows. You get itemized invoices that describe exactly what was done and why, in plain language. The meter should never feel like a mystery.
In practice, this looks like a true outside general counsel relationship: you come to me first, the way you'd walk down the hall to your GC. I learn your business, your contracts, your risk appetite—and you get judgment informed by that context on every matter, not a fresh learning curve each time you call.
-
Some work is better priced as a defined project. Deal readiness, governance tune-ups, contract foundations are quoted as fixed fees agreed upfront.
Project work and ongoing counsel aren't mutually exclusive—many engagements blend the two, with fixed-fee components inside an hourly relationship.
About Me
Courtney Browne brings to her clients sixteen years of experience as a legal executive in VC- and PE-backed beauty, consumer goods and tech companies, where she drove corporate growth, transactions, risk management, and compliance across international markets. She helps growing companies scale strategically while keeping corporate momentum intact.
Courtney's career spans in-house leadership at Birchbox, where she rose from counsel to General Counsel during the subscription pioneer's global expansion, and at TULA Skincare, where she built the legal function from nothing as the company's first GC and led its sale to Procter & Gamble. She most recently served as Chief Legal Officer of a PE-backed social good SaaS company, through a period of tremendous transformation. Her background guiding companies from early stage through important phases and acquisition allows her to design right-sized legal strategies for clients and implement them efficiently, without friction. She counsels companies for success today while preparing for the next phase, fundraise, acquisition, or exit—leading deals with customers, partners, vendors, and investors, and managing outside counsel so her clients only buy the outside expertise they actually need.
Courtney lives in Brooklyn, New York. She is a member of the Friends of Macon Library and has served on the board of the Columbia Law School Association. She is an angel investor in early-stage companies, which keeps her founder empathy honest, and she spends her free time traveling and collecting local artwork.
